PHYN PRO PROGRAM TERMS AND CONDITIONS
Program Overview. The Phyn Pro Program (the “Program”) is a voluntary program for trade professionals and companies such as yourself (“Applicant” or “Pro”) to engage with Phyn LLC (“Phyn”) in connection with product purchasing, public directory listing, and potential installation-related opportunities. Participation in the Program is conditioned upon Pro’s continued compliance with these Phyn Pro Program Terms and Conditions and any other terms and conditions established by Phyn for the Program from time to time (together, the “Program Terms”).
Applications. Participation in the Program is subject to Phyn’s acceptance of Applicant’s application. By submitting an application, Applicant represents and warrants to Phyn that all information in such application is true and complete. Submission of an application does not guarantee acceptance into the Program. Phyn reserves the right, in its sole discretion, to approve or decline any application for any reason.
Conditions to Participation. As a condition to participate in the Program, Applicant represents, warrants and covenants to Phyn that at all times during such participation (i) it shall maintain all required licenses, authorizations, and regulatory compliance necessary to perform plumbing work and operate as a business in its jurisdiction, (ii) it shall only perform work for which it is licensed and its employees are trained, (iii) it shall comply with all applicable local, state, provincial, and federal laws, regulations, and codes. Pro shall promptly notify Phyn if it is no longer legally authorized to perform such work or if any required license, certification, or authorization is suspended, revoked, or expires. Pro remains solely responsible for maintaining all required licenses, authorizations, insurance coverage, and regulatory compliance. Pro participates in the Program as an independent contractor and is solely responsible for its employees, agents, and subcontractors; workmanship; job-site safety; and all services performed. Phyn does not supervise, control, or direct the means or methods of Pro’s work and assumes no responsibility for installation outcomes, code compliance, customer disputes, or service performance.
Participation in the Program does not create a partnership, joint venture, employment, agency, subcontractor, or franchise relationship between Phyn and the Pro.
Find a Phyn Pro Directory. Participation in the Program may include Pro’s opportunity to be included in the Find a Phyn Pro directory. The Find a Phyn Pro directory is an online directory maintained by Phyn that enables consumers to locate independent service professionals who offer installation and related services. The Find a Phyn Pro directory is a listing and discovery tool only. Phyn does not endorse, supervise, control, or guarantee any Pro, nor does it assess the quality, pricing, legality, or suitability of any services offered by Pros included in the directory.
Verified Pro Designation. By participating in the Program, you may be eligible for designation by Phyn as a “Verified Pro.” This designation indicates solely that, at the time of your enrollment, Phyn conducted a limited review of publicly available licensing or registration information and operating jurisdiction. Where state or local law requires a professional plumbing license, Phyn may review publicly accessible records to confirm that such license appeared active at onboarding. In jurisdictions where no specific plumbing license is required, Pro represents and warrants that it is legally authorized to perform the services offered under applicable laws and regulations. Verified Pro status reflects information reviewed only at the time of application. Phyn does not conduct ongoing monitoring, does not receive automatic updates from licensing authorities, and does not independently verify continuing compliance, insurance coverage, bonding, training, or workmanship quality. Phyn reserves the right, but has no obligation, to revoke Verified Pro status at any time if it becomes aware of information suggesting noncompliance or for any other reason.
No Endorsement. Approval into the Program, listing on the Find a Phyn Pro directory, or designation as a “Verified Pro” reflects participation in the Program only and does not constitute an endorsement, certification, approval, or guarantee by Phyn of Pro’s qualifications, licensing status, legal compliance, insurance coverage, pricing practices, or workmanship. Each determination—application approval, directory listing, and Verified Pro designation—is made independently and solely at Phyn’s discretion and may be modified, suspended, or withdrawn at any time.
Product Purchases. If Pro purchases products directly from Phyn at Pro pricing, pricing and availability are subject to change at any time and additional purchasing terms may apply. All such purchase will be subject to Phyn’s standard terms and conditions.
Service Pricing. Pro acknowledges and agrees that it remains solely responsible for ensuring that all pricing, estimates, and charges comply with Phyn’s pricing guidelines, if any, and all applicable consumer protection, advertising, and pricing transparency laws. Phyn does not review, verify, or monitor Pro’s pricing, estimates, or billing practices and makes no representation regarding their fairness, competitiveness, or compliance.
Service Opportunities. From time to time, Pro may be considered for installation or service opportunities related to programs, promotions, or initiatives involving Phyn or its partners. Any such opportunities are offered, if at all, at Phyn’s sole discretion and may be subject to additional eligibility criteria, background checks, pricing requirements, service level expectations, or separate written agreements. Participation in the Program or designation as a Verified Pro does not create any right or entitlement to receive access to such opportunities. Any potential opportunities are provided at Phyn’s sole discretion and may be modified, limited, or discontinued at any time without notice.
Permission to Use Information. If Pro is approved for listing on the Find a Phyn Pro directory, Pro grants Phyn permission to display business name, contact information, service area, and other approved profile information. Pro may request removal of its listing at any time by providing written notice to Phyn at support@phyn.com. Phyn reserves the right to modify, suspend, or remove listings at its discretion.
Indemnity. Pro agrees to indemnify, defend, and hold harmless Phyn and its officers, directors, employees, agents, and affiliates from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) any breach of the Program Terms; (b) any negligence, gross negligence, or willful misconduct by Pro or its personnel; (c) any violation of laws, regulations, or third‑party rights by Pro; and (d) any third‑party claims relating to the installation of Phyn Products or provision of other services by Pro for any customer sourced via the Program or the Find a Phyn Pro directory.
Termination of Participation. Pro may request removal from the Program at any time by providing written notice to Phyn. Phyn may modify, suspend, or terminate the Program, or Pro’s participation in the Program, at any time and for any reason, including but not limited to loss of legal authorization, non-compliance with applicable laws, or failure to meet Program requirements.
Communications. By submitting an application and participating in the Program, Pro agrees that Phyn may send email communications related to Program participation, account status, purchasing, installation opportunities, and related announcements. Pro may unsubscribe from marketing communications at any time.
General. The Program Terms shall be governed by the laws of the State of California. Phyn reserves the right to amend, modify, or update the Program Terms at any time. Pro will be notified of any such changes through the contact information provided to Phyn or through a notice on Phyn’s website. Continued participation in the Program following such notice will constitute acceptance of the amended terms and conditions.
